UGC King Affiliate Program Terms

You must be at least 18 and legally able to enter a contract. If you sign up for a business, you confirm you are authorized to bind it. You sign up through our affiliate platform, Tolt, and must give accurate, current details, including tax information before your first payout (a W-9 in the US, a W-8BEN, W-8BEN-E or equivalent elsewhere). We may ask you to verify your identity.

We may accept, decline, suspend or remove any partner at our sole discretion, with or without giving a reason.

You are an independent contractor. Nothing in these Partner Terms makes you our employee, agent, partner, joint venturer or franchisee. You cannot make promises, sign contracts, set prices, grant discounts or accept payments on our behalf. You pay your own costs of promoting UGC King. The Program is non-exclusive for both of us: you may promote other products, and we may work with any number of other partners, including in the same markets.

A customer is your "Referral" when they buy a UGC King plan after arriving through your partner link, or by using a promotion code we assigned to you. Your link is remembered in their browser for 60 days. If a customer arrives through more than one partner's link, the first one within that window is credited.

Only new customers count. An organization that already has, or has had, a paid UGC King subscription, or that was already in contact with us about buying before your referral, is not a Referral. You cannot refer yourself, your own business, a business you own or control, or anyone buying on your behalf.

If you introduce a prospect who buys after a call with us, email hello@ugcking.com with their name, company and email before they buy. We will credit the sale to you if they buy within 60 days of that email and are otherwise eligible.

Tracking depends on cookies and third-party software and is not guaranteed; a customer who blocks cookies or changes device may not be tracked. We decide whether a sale is a Referral, and which partner it belongs to, using our records and our affiliate platform's records, and our decision is final. We are not liable for a referral that was not tracked.

Customers who buy through your link or code get 10% off any plan, monthly or annual, while the discount is offered. On an annual plan it stacks with the annual discount. You may not offer any other discount, rebate, cashback, gift or share of your commission to a customer, or promise them anything about UGC King that is not on our website.

For each Referral you earn the fixed monthly amount for the plan they are on, as published on ugcking.com/affiliates on the date of their first payment ("Commission"). You earn it for the customer's first 12 months, and only for months they actually pay for in full. If they change plans, each month earns the amount for the plan they paid for that month. Nothing is earned on taxes, on free or credited months, or on anything we did not actually collect.

Annual plans. For a customer on an annual plan you earn the annual monthly amount for that plan for 12 months, paid quarterly in arrears: a quarter of the year's Commission after each quarter has been served (at months 4, 7, 10 and 13), provided the customer has not refunded, charged back or been credited that period.

Premium. Partners who close three accounts, or refer $5,000 in paid revenue, may be moved to the premium tier at our discretion. Premium pays 20% more on Referrals whose first payment is after the move. We may move a partner back to the standard tier if they stop referring or break these Partner Terms.

We make no promise that you will earn anything. Any earnings examples we publish, including our calculator, are illustrations, not guarantees.

Monthly-plan Commissions are paid about 30 days after each customer payment clears. Annual-plan Commissions are paid quarterly as described above. Payouts are made in US dollars to the Wise or bank account you set up in the partner portal. Fees charged by your bank or payout provider, and any currency conversion, are yours.

We may hold payouts until your tax, identity and payment details are complete and correct. If we cannot pay you for 12 months because your details are missing or wrong after we have asked for them, the unpaid Commission is forfeited.

You are solely responsible for all taxes on your Commissions. We may withhold amounts where the law requires us to and report payments to tax authorities.

No Commission is earned on a payment that is refunded, charged back, disputed or credited. If a customer refunds, charges back or cancels, the remaining Commission for that customer stops. Commission already paid on a payment that is later refunded, charged back or found to be ineligible is deducted from your next payouts. If there are no future payouts to deduct it from, you must repay it within 30 days of our request.

If we reasonably suspect fraud, self-referral, fake or incentivized signups, or any breach of section 8, we may hold all of your payouts while we investigate, and reverse or cancel any Commission connected to it.

You may promote UGC King in any honest way, except that you must not:

• bid on "UGC King", "UGCKing", "ugcking.com" or close variations or misspellings in paid search or any ad platform, or use them in domains, social handles, app names or ad copy that could be mistaken for us;
• post your link or code on coupon, deal, cashback, loyalty or discount-code sites or browser extensions;
• send spam, unsolicited bulk email, texts or automated calls, or contact anyone in breach of CAN-SPAM, the TCPA, anti-spam laws or a platform's rules;
• present yourself as UGC King or our employee, or make false or unapproved claims about the product, results, earnings, pricing, guarantees or legal compliance;
• create fake accounts, reviews or signups, pay or reward people to sign up, use bots or incentivized clicks, or force or fake a referral (for example, cookie stuffing or hidden links);
• promote UGC King next to illegal, hateful, sexually explicit or deceptive content, or to anyone under 18;
• collect customers' payment details or passwords, or take payment for UGC King yourself.

You must follow every law that applies to you and your audience, including clearly disclosing that you are paid for referrals (for example, under the FTC's Endorsement Guides in the US) and privacy and marketing laws.

If you break these rules we may, at our discretion, cancel or reverse the Commissions involved, withhold unpaid Commissions, and remove you from the Program immediately.

We give you a limited, non-exclusive, non-transferable, revocable license to use the UGC King name, logo and the materials we provide, only to promote UGC King under these Partner Terms and without altering them. We own all rights in them. You must stop using them, and take down content that implies you are still a partner, when you leave the Program. You are responsible for any content you create, and you give us permission to link to and share it.

Customers you refer are our customers. You have no rights in their accounts, data or subscriptions. Anything non-public we share with you, including customer details, pricing plans, commission structures and product plans, is confidential: use it only for the Program and do not share it.

We may change the Program, these Partner Terms, commission amounts, our plans, our prices, or the customer discount at any time by posting the update on this page. Changes to commission amounts apply to Referrals whose first payment is after the change; existing Referrals keep the amount that applied when they first paid. Other changes take effect when posted. By continuing in the Program after a change, you accept it.

We may pause or end the Program at any time.

Either of us can end your participation at any time, for any reason, by email or through the partner portal. If you leave, or we end the Program or your participation for a reason other than a breach of these Partner Terms, we pay the Commission earned on eligible customer payments made up to 30 days after the end date. Nothing is earned after that.

If we remove you for breaching these Partner Terms, all unpaid Commission is forfeited. Sections 6, 7, 9, 10, 13, 14 and 15 continue to apply after you leave.

The Program, your partner link and the affiliate platform are provided "as is", without warranties of any kind, including that tracking will be uninterrupted or error-free.

To the maximum extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business, arising from the Program. Our total liability to you for anything relating to the Program is limited to the Commission you earned but have not been paid.

You will defend, indemnify and hold harmless UGC King, Crecimos LLC and its owners, employees and contractors from any claims, losses, fines and costs (including reasonable legal fees) arising from your promotion of UGC King, your content, your breach of these Partner Terms, or your breach of any law.

Our Terms of Service apply to the Program as well, including their binding individual arbitration, class-action waiver, and Delaware governing-law and venue sections. If the Terms of Service and these Partner Terms conflict about the Program, these Partner Terms control.

These Partner Terms, with our Terms of Service and Privacy Policy, are the whole agreement about the Program and replace anything said or written before. You may not assign them without our written consent; we may assign them freely. If any part is unenforceable, the rest still applies. Our not enforcing a term is not a waiver of it.
